These Terms of Service (“Terms”) govern your access to and use of the openProd.io platform and services operated by Lemonmind sp. z o.o. (“we”, “us”, “our”). By accessing or using our services, you agree to be bound by these Terms.
1. Service Description
openProd.io is an AI-first product data onboarding platform that helps businesses automate the collection, enrichment, and management of product information. Our services include data ingestion, AI-powered data transformation, product catalog management, and related tools accessible via our web application and API.
2. Account Registration
2.1 Eligibility
You must be at least 18 years old and have the legal authority to enter into these Terms. If you are using our services on behalf of an organization, you represent that you have the authority to bind that organization.
2.2 Account Security
You are responsible for:
- Providing accurate and complete registration information
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access at hello@openprod.io
3. Acceptable Use
You agree not to:
- Use our services for any unlawful purpose or in violation of any applicable laws
- Upload or transmit malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to our systems or other users’ accounts
- Interfere with or disrupt the integrity or performance of our services
- Reverse engineer, decompile, or disassemble any part of our platform
- Use our services to build a competing product or service
- Scrape, crawl, or use automated means to access our services beyond the provided API
- Resell or redistribute our services without written authorization
We reserve the right to suspend or terminate accounts that violate these terms.
4. Your Content
4.1 Ownership
You retain all rights to the data and content you upload to openProd.io (“Your Content”). We do not claim ownership of Your Content.
4.2 License
By uploading content, you grant us a limited license to process, store, and display Your Content solely to provide and improve our services. This license terminates when you delete Your Content or close your account.
4.3 Responsibility
You are solely responsible for Your Content and must ensure it does not infringe on any third-party intellectual property rights or violate applicable laws.
5. Intellectual Property
The openProd.io platform, including its software, design, logos, documentation, and all related intellectual property, is owned by Lemonmind sp. z o.o. and is protected by copyright and other intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or branding without prior written consent.
6. Fees and Payment
6.1 Pricing
Service fees are described on our website or in a separate agreement. We may change pricing with at least 30 days’ notice.
6.2 Payment Terms
Fees are due as specified in your subscription or agreement. Overdue payments may result in service suspension.
6.3 Refunds
Refunds are handled on a case-by-case basis. Contact us at hello@openprod.io for refund requests.
7. Service Availability
7.1 Uptime
We strive to maintain high availability but do not guarantee uninterrupted access. Planned maintenance will be communicated in advance when possible.
7.2 Modifications
We may modify, update, or discontinue features of our services at any time. Material changes that negatively affect your use will be communicated with reasonable notice.
8. Limitation of Liability
To the maximum extent permitted by applicable law:
- Our total liability for any claims arising from these Terms or your use of our services shall not exceed the amount you paid us in the 12 months preceding the claim.
- We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
- We are not liable for any loss or damage resulting from circumstances beyond our reasonable control.
These limitations apply regardless of the legal theory on which the claim is based.
9. Indemnification
You agree to indemnify and hold harmless Lemonmind sp. z o.o. and its officers, employees, and agents from any claims, damages, or expenses arising from your use of our services or violation of these Terms.
10. Termination
10.1 By You
You may terminate your account at any time by contacting us at hello@openprod.io.
10.2 By Us
We may suspend or terminate your access if you violate these Terms or if required by law. We will provide reasonable notice where possible.
10.3 Effect of Termination
Upon termination, your right to use our services ceases. We will retain Your Content for a reasonable period to allow you to export it, after which it will be deleted in accordance with our data retention policies.
11. Governing Law and Disputes
These Terms are governed by the laws of the Republic of Poland. Any disputes shall be resolved by the competent courts in Gdansk, Poland. If you are a consumer within the EU, you retain the right to bring proceedings in the courts of your country of residence.
12. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Lemonmind sp. z o.o.
- Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.
- Waiver: Our failure to enforce any right does not constitute a waiver of that right.
- Assignment: You may not assign your rights under these Terms without our prior written consent.
